Associate General Counsel

The Associate Gen Counsel job assists in protecting an organization's rights, obligations and privileges and its legal interests by providing legal direction to organization and by ensuring the legal activities meet the current and future needs of the organization. This job provides legal advice/counsel in business-related areas of expertise (e.g., corporate law, real estate, tax, business litigation, transactions/anti-trust, compliance, intellectual property, employment/labor, corporate governance, ethics, etc.).

Key Responsibilities and Duties

  • Provides hands-on counsel to management and manages the operations of legal department.

  • Represents/advocates for the organization in litigation, arbitration, mediation or other disputes with courts, government agencies, or other legal authorities.

  • Protects the organization's rights in contract negotiations, settlements, and litigation.

  • Negotiates and/or approves legal contracts, letters of agreement, policies and other documents related to a variety of trade, commercial, financial, and operational matters.

  • Identifies, evaluates, and addresses issues of legal risk.

  • Researches, analyzes, and interprets proposed and existing laws, statutes, and regulations.

  • Advises management on recent changes in laws and regulations that affect the company.

  • Liaises with external legal counsel on complex legal issues.

The Associate General Counsel (Executive Compensation) will be part of the Global Employment & Benefits Law (GEBL) team. The GEBL team provides employment and benefits law advice and counsel to the company’s businesses and human resources professionals. This role will be based in Chicago, IL, New York, NY, Charlotte, NC, Dallas, TX, or Los Angeles, CA.Â

Additional Responsibilities:

  • Supporting investment management compensation programs with respect to ERISA, tax and securities law issues and partnering with internal business clients to design, draft and implement a variety of incentive structures;

  • Providing legal advice, guidance and counsel to management on a variety of other executive compensation and employee benefits-related matters; and

  • Serving as a trusted advisor to human resources professionals and internal business clients by providing proactive counsel, risk mitigation strategies and effective partnership to arrive at pragmatic solutions to compensation and benefits issues.

Required Qualifications:

  • 5 years as a compensation/benefits lawyer at a national law firm and/or in-house legal department required

Preferred Qualifications:

  • University and Law School Degrees

  • 7+ years advising on compensation matters

  • Experience advising investment management clients regarding compensation design and related matters

  • Demonstrated capability to operate in a fast-paced environment while managing multiple demands and shifting priorities.

  • Strong business judgment and interpersonal skills.

Base Pay Range: $184,100/yr. - $306,800/yr.

Actual base salary may vary based upon, but not limited to, relevant experience, time in role, base salary of internal peers, prior performance, business sector, and geographic location. In addition to base salary, the competitive compensation package may include, depending on the role, participation in an incentive program linked to performance (for example, annual discretionary incentive programs, non-annual sales incentive plans, or other non-annual incentive plans).Â
